By accessing or using the Sell-Side platform (“Platform”), you agree to be bound by these Terms & Conditions. If you do not agree, do not use the Platform.
Sell-Side provides data aggregation, analytics, and intelligence tools for music catalog rightsholders, their representatives, and advisors. The Platform generates directional valuation ranges, performance analytics, and deal readiness indicators based on user-uploaded data. Sell-Side is not a registered broker-dealer, investment advisor, or appraiser. The information provided through the Platform does not constitute financial, legal, or tax advice, and should not be relied upon as the sole basis for any transaction decision.
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to provide accurate and complete information when creating your account.
You retain full ownership of all data you upload to the Platform. Sell-Side will not share, sell, or distribute your data to third parties without your explicit consent. By using the Platform, you grant Sell-Side a limited license to process your uploaded data solely for the purpose of generating your analytics and intelligence reports. Sell-Side may use anonymized, aggregated data — from which no individual user or catalog can be identified — for market benchmarking, research, and product improvement purposes.
When you share data room access with third parties (buyers, lawyers, advisors), you do so at your own discretion. Sell-Side provides access controls and audit trails but is not responsible for how recipients use the information you choose to share.
Your first album assessment (up to 12 ISRCs) is provided at no cost. Beyond that, assessments are priced at 0.5% of your catalog’s estimated midpoint valuation, with a minimum fee of $29. Each assessment includes 12 months of Sell-Side Intelligence access (data room, refreshes, updated analytics), renewing at $99/year. Catalogs with an estimated valuation above $1M receive personalized advisory pricing. All fees are non-refundable once an assessment has been delivered. Payment is processed securely via Stripe.
Valuation ranges, growth metrics, and analytics provided by the Platform are directional estimates based on the data you upload. They are not appraisals, guarantees of value, or substitutes for professional valuation services. The accuracy of your results depends on the completeness and quality of the data you provide. Sell-Side is not liable for decisions made based on Platform outputs.
The Sell-Side platform, its design, branding, methodologies, scoring algorithms, and all related intellectual property are owned by Sell-Side. You may not copy, modify, distribute, or reverse-engineer any part of the Platform.
You agree not to: upload data you do not have the right to share; use the Platform to misrepresent catalog ownership or financials; attempt to access other users’ data or accounts; use automated tools to scrape or extract data from the Platform.
Sell-Side may suspend or terminate your account if you violate these Terms. You may close your account at any time. Upon closure, your uploaded data will be retained for 30 days and then permanently deleted, unless required for anonymized benchmarking purposes as described in Section 4.
To the maximum extent permitted by law, Sell-Side shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform. Sell-Side’s total liability shall not exceed the fees you have paid in the 12 months preceding the claim.
Sell-Side reserves the right to update these Terms at any time. Material changes will be communicated via email or through the Platform. Continued use after changes constitutes acceptance.
These Terms are governed by the laws of the State of New York, without regard to conflict of law principles. Any disputes shall be resolved in the courts of New York County, New York.
